2010 TOTAL DEFENSE CHALLENGE OFFICIAL CONTEST RULES

1. NO PURCHASE NECESSARY. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. VOID IN RHODE ISLAND AND WHERE PROHIBITED BY LAW. ALL FEDERAL, STATE AND LOCAL LAWS AND REGULATIONS APPLY. ALL PARTICIPANTS ARE ENCOURAGED TO CONTACT THEIR STATE'S HIGH SCHOOL ATHLETIC ASSOCIATION TO CONFIRM THAT THEIR PARTICIPATION AND POTENTIAL RECEIPT OF A PRIZE IN THE 2010 TOTAL DEFENSE CHALLENGE DOES NOT CONFLICT WITH ANY APPLICABLE RULES OR REGULATIONS.

2. PARTICIPATION CONSTITUTES ACCEPTANCE OF RULES AND DECISIONS, CONSENT TO USE AND RELEASE OF CLAIMS. By entering this contest, each participant warrants that he has read and agrees to abide by all contest rules ("Official Rules") and that he is not prohibited from participating in the contest. Participation in this contest constitutes participant's (if 18 years of age or older), or parent/guardian's (of the below listed minor), full and unconditional acceptance of these Official Rules and the decisions of Youth Basketball, LLC, and its related entities and affiliates (collectively, "iHoops"), the National Basketball Association and its related entities and affiliates, including but not limited to National Basketball Association (the "NBA") and the NBA Member Teams, NBA Media Ventures, LLC, NBA Properties, Inc., and its related entities and affiliates (collectively, the "NBA Entities"), the National Collegiate Athletic Association, its related entities, affiliates and members (collectively the "NCAA") and The Dial Corporation ("Right Guard" or the "Sponsor"), and all of their respective officers, directors, employees and agents, which are final, binding and non-negotiable in all respects. iHoops, the NBA Entities, the NCAA and Right Guard are collectively referred to as the "Released Entities". Each participant (if 18 years of age or older) or the parent/guardian of the below listed minor (individually and collectively the "Participant") agrees to release, discharge, indemnify and hold harmless the Released Entities from any liability arising from or related to the contest and/or the receipt or use of the prizes awarded in connection with the contest, including without limitation, personal injury, death, and property damage, and claims based on publicity rights, defamation, or invasion of privacy. Further, Participant fully and unconditionally releases all claims for consideration, copyright infringement and all other claims of any nature relating to the use of Participant's entry, name or likeness.

3. ELIGIBILITY. This contest is open to male U.S. residents 14 years of age through 18 years of age who are enrolled in a public or private high school as a freshman, sophomore, junior or senior as of the 2010-2011 school year. Proof of age and identity must be furnished upon request. Employees, agents, independent dealers and affiliates of the Released Entities and immediate family members of all such persons, are not eligible to participate in this contest. The Released Entities reserve the right at their sole discretion to: (i) cancel, terminate, suspend or amend this contest at any time for any reason without prior notice, (ii) amend these Official Rules at any time without prior notice, at their sole discretion, and (iii) disqualify any Participant for any reason, including, but not limited to, violation of these Official Rules or infringement of the rights of a third party.

4. TO ENTER. This contest will run between February 22, 2010 and June 30, 2010. To enter this contest, Participant is asked to (i) complete and electronically submit a registration form, including a signed copy of these Official Rules; (ii) upload highlight footage (each clip is not to exceed two (2) minutes) of his best defensive play(s) from the 2009-2010 basketball season, and (iii) electronically submit an essay detailing why he should be picked as a winner. The essay and highlight footage may be posted at www.ihoops.com, in the Released Entities' sole discretion and subject to applicable NCAA rules. Registration forms may be completed at www.ihoops.com. Applications must be received no later than midnight, Eastern Standard Time, June 30, 2010, (“Eligible Entries”) to be eligible to win this contest. Submissions received after this date and time will not be valid. Completed registration forms, essays and highlight footage must be submitted electronically at www.ihoops.com. Electronic entries will be considered to have been made by the individual associated with the username and/or e-mail account from which the entry is received. Participant may submit as many highlight videos as he wishes. Persons submitting entries under false pretenses will be disqualified. The Released Entities reserve the right, at their sole discretion, to disqualify any individual who tampers with the entry process, and/or to cancel, terminate, modify, or suspend the contest. Caution: any attempt by a contestant to deliberately damage any website or undermine the legitimate operation of the contest may be a violation of criminal and civil laws and, should such an attempt be made, the Released Entities reserve the right to prosecute and seek damages from any such contestant to the fullest extent of the law. The Released Entities are not responsible for telecommunications, network, electronic, technical or computer failures of any kind, including but not limited to garbled, mis-sent, lost, or stolen computer transmissions or defects or errors relating to the submission of Participant entries. Entries will become the property of the Released Entities for promotional and other use.

5. PRIZES. Two (2) sets of winners will be selected on or before August 31, 2010. The first set of winners will consist of five (5) winners selected by visitors to the iHoops website who vote for their favorite highlight footage (collectively, the "Fan Choice Winners"). The five (5) Eligible Entries that receive the most votes will be named Fan Choice Winners. In the event of a tie, the iHoops staff will select a winner based on the strength of the submitted highlight footage and the essays submitted in conjunction with the Eligible Entries. The second set of winners will consist of twenty five (25) winners selected by the iHoops staff it is sole discretion (the "Judges' Favorites"). Such selection will be based on the strength of the submitted highlight footage and the essays submitted in conjunction with the Eligible Entries. The Judges' Favorites shall be selected from a set of Eligible Entries not containing the Fan Choice Winners. The Fan Choice Winners and the Judges' Favorites each will receive (i) coach roundtrip airfare departing from the major gateway airport nearest to the winner's residence and arriving in New Orleans for themselves and one (1) parent with an approximate retail value of $800; (ii) hotel accommodations for one (1) night double occupancy hotel accommodations with an approximate retail value of $200; (iii) two (2) tickets to an NBA game to be determined solely by the NBA Entities with an approximate retail value of $200; (iv) $200 per diem; and (v) an entry into the Right Guard® Total Defense Challenge (the "Challenge"). The Released Entities reserve the right to provide ground transportation in place of airfare for winners that live within reasonable driving distance of the Challenge. These prizes have a collective approximate retail value of $1400 each. This amount may vary depending upon time and place of departure. All taxes, ground transportation (except for ground transportation in lieu of airfare as discussed above), meals and all other costs and expenses not specified are not included and are the sole responsibility of the winner(s). All decisions of the judges of this contest are final, binding and non-negotiable. No prize may be transferred or substituted. Unclaimed prizes will not be awarded. No more than the advertised number of prizes will be awarded. The Fan Choice Winners and Judges' Favorites must be accompanied by a parent/guardian at all times at Challenge events and related activities, including travel to and from the Challenge. If any of the Fan Choice Winners or Judges' Favorites are unable to travel to the Challenge, such winners will not receive a cash equivalent of the above-described prizes. The Released Entities reserve the right to substitute a prize or prizes of the same or greater value at their sole discretion. Prizes are not transferable and cannot be redeemed for cash.

The Fan Choice Winners and the Judges' Favorites will compete for three (3) individual awards at the Challenge, including the Right Guard® National Total Defense Player; the Individual Total Defense Drill Winner; and the Total Defense Leader (collectively, the "Challenge Winners"). All Challenge Winners will have their photographs and Challenge footage and highlights posted to www.ihoops.com, subject to applicable NCAA rules. All winners must act in a sportsmanlike manner at Challenge events. Any disruptive, dangerous, or unlawful conduct will result in dismissal from the Challenge and all Challenge events and forfeiture of all prizes. The Challenge will be held in New Orleans during the 2010-11 NBA Season on a date to be determined by the Released Entities.

ALL PRIZES AWARDED ARE AS-IS WITHOUT EXPRESS OR IMPLED WARRANTIES OR GUARANTIES.

6. IDENTIFICATION OF WINNER. The Released Entities will notify the winners by phone or email at the information provided on the registration form on or about the week of August 31, 2010. The winners and their parents/guardians (as applicable) must accept the prize by signing and returning the Affidavit of Eligibility and Liability/Publicity Release no later than September 15, 2010. No prize will be awarded until such documentation is received by the Released Entities. A PARTICIPANT IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL PARTICIPANT 'S ELIGIBILITY HAS BEEN VERIFIED AND PARTICIPANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE. The winners are responsible for any taxes associated with the prize.

7. SPONSOR: The Dial Corporation, A Henkel Company, 19001 North Scottsdale Road, Scottsdale, AZ 85255.

8. ODDS: The odds of winning the Challenge depend on the number of Eligible Entries received.

9. MISCELLANEOUS. BECAUSE PERSONAL INFORMATION FROM PARTICIPANTS WILL BE COLLECTED BY ENTERING THIS CONTEST, PARTICIPANTS SHOULD REVIEW THE PRIVACY POLICY POSTED ON iHOOPS' WEBSITE, which can be found at www.ihoops.com. By entering this contest, Participant authorizes the Released Entities to contact Participant for commercial purposes via fax, telephone, or e-mail addresses listed on the Participant's entry form. This Agreement is governed by the laws of the State of Indiana, without giving effect to conflicts of law rules. By executing this Agreement, Participant consents to the exclusive venue and jurisdiction of the state and federal courts of Indianapolis, Indiana, in all disputes arising out of or related to these Official Rules.

By entering into this contest, Participant hereby grants to the Released Entities, subject to applicable NCAA rules, the right to use, edit, publish, and reproduce, for all purposes, including publicity, promotion, and advertising, in any medium or format whether now known or to be developed or discovered in the future, his image, voice, likeness, distinctive appearance, gestures, name, signature and/or mannerisms, and any and all biographical material submitted, including the essay entry and the highlight footage Participant has submitted (collectively, "Publicity Materials"). Participant gives the Publicity Materials free of charge, and acknowledges that the Publicity Materials may be treated as non-confidential and non-proprietary and may be used by the Released Entities for any purpose, without my consent or any compensation to him or anyone else, subject to applicable NCAA rules. Participant waives any right he may have to inspect or approve the Publicity Materials, or the advertising or other copy that may be used in connection therewith or the use to which the Publicity Materials may be applied. Participant grants to the Released Entities all right, title, and interest he may have on any pictures or videos resulting from his participation in this contest and his participation in the Total Defense Challenge (if applicable), and further grants the Released Entities the right to give, sell, transfer and exhibit those materials for any purpose, subject to applicable NCAA rules. Participant hereby releases, discharges and holds the Released Entities harmless from any and all liability and/or damages arising out of or in connection with the Publicity Materials and any other materials resulting from his participation in this contest and his participation in the Total Defense Challenge. This Agreement is irrevocable, is effective in perpetuity and throughout the world, and applies to the Released Entities, their assigns, designees, contractors, sub-licensees, distributors, successors, and agents. Participant has read and understands this Agreement. This Agreement shall be binding upon Participant and his heirs, legal representatives and assigns.

Participant does hereby irrevocably assign, grant, transfer and convey to the Released Entities all of his worldwide right, title and interest in and to the Publicity Materials, including all related intellectual property rights, such as the rights under under the Copyright Act, 17 U.S.C. § 101 et seq. and otherwise. Upon the request of any of the Released Entities, Participant will take all reasonable actions (including signing documents) necessary to give effect to such assignment. Participant forever transfers and/or waives any "moral" rights under copyright or other U.S. law or any other laws in any jurisdiction in the Publicity Materials and, and forever transfers and/or waives any right of integrity or attribution that he may possess in the Publicity Materials. Participant represents and warrants that the Publicity Materials do not infringe any patent, trademark, copyright or other intellectual property rights,, publicity rights or other rights of any person or entity, and that he owns or otherwise has the right to use the Publicity Materials that he provides to the Released Entities in connection with 2010 Total Defense Challenge. If the Publicity Materials are not entirely original to Participant, Participant warrants that he has obtained all necessary authorization(s) and consent(s) to use the Publicity Materials from all affected third parties.
